1. Acceptance of Terms

By accessing or using any website operated by Swing Cap LLC under the brand BrightKoda (“we,” “us,” or “our”), including brightkoda.org and any other BrightKoda website that links to these Terms, or by using Koda software, you agree to be bound by these Terms and Conditions. If you do not agree, please do not use our services.

2. Services Description

Swing Cap LLC, through its BrightKoda brand, provides technology for home care and senior care companies. Our products include:

• KodaConnect: forms, onboarding packets and e-signing
• KodaOnboard: nurse onboarding and credentialing
• SkillBridge: caregiver training and certificates
• KodaOps: an operations portal for coordinators
• KodaOnCall: after-hours on-call and escalation
• KodaComply: a free public regulations library and a compliance-checking app
• KodaNursing: nursing operations for home health and private duty nursing
• KodaCRM: outreach campaigns, call-backs and follow-up in one place (in development)
• KodaPrivateVA: an operating platform for private-pay and VA home care (in development)
• Chronic care management and remote patient monitoring (Patient Bridge Health)

BrightKoda does not provide home care and does not hire caregivers. Home care services and caregiver jobs are offered by the home care companies that use Koda software, each on its own website and under its own terms.

4. User Responsibilities

You agree to:

• Provide accurate and complete information in any form you submit to us
• Not misrepresent your qualifications, credentials, or identity
• Keep your sign-in codes private and not share them with anyone
• Use our services only for lawful purposes
• Not attempt to gain unauthorized access to our systems or data

5. Intellectual Property

All content on our websites, including text, graphics, logos, and software, is the property of Swing Cap LLC and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

6. Limitation of Liability

To the maximum extent permitted by law, Swing Cap LLC and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the amount paid by you, if any, for accessing our services in the twelve months preceding the claim.

7. Disclaimer of Warranties

Our services are provided “as is” and “as available” without warranties of any kind, express or implied. We do not warrant that our services will be uninterrupted, error-free, or free of viruses or other harmful components.

8. Governing Law

These Terms shall be governed by the laws of the State of New York, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of New York.

9. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes by updating the “Last updated” date. Continued use of our services after changes constitutes acceptance of the revised Terms.
